Registration of Changes and Application for Extention of Representative Office in Beijing

The Registration of Extending the Term of the Representative Offices in Beijing

A representative office of a foreign (regional) enterprise that applies for the extending the term of the representative office in Beijing shall submit the following documents and certificates:


1. The application of the registration of extending the term of the representative office signed by the chief representative of the office which bearing the fresh seal of the office.


2. The report of the business activities in the fiscal year of the registration (the copy of the Chinese language shall be signed by the chief representative of the office and bear the fresh seal of the office). The report shall cover the following contents:


(1) Business relations with all Chinese work units;


(2) Business transactions and business volumes with the Chinese work units through the head office of the representative office; and


(3) Members of the representative office (including the representatives and employees).


3. The original Certificate of Registration and the original Certificate of Representative.


4. The Certificate Form of the Site Use.


5. The Power of Attorney of the Registration.


6. In case the term of the representative office approved by the original examination and approval authority is expired, the office shall also submit the original copy of the Certificate of Approval of Extending of the Term of the Representative Office issued by the original examination and approval authority, the legal certificate of business of the enterprise and the certificate of the qualification of the enterprises issued by the banking institution.


The Registration of the Modifications/Changes of the Representative Offices in Beijing

A representative office of a foreign (regional) enterprise that applies for modifying its registration of the representative office in Beijing shall submit the following documents and certificates:


1. When modifying the registration of the address of the representative office, the office shall submit the following documents and certificates:


(1) The application of the modification of the registration of the address of the representative office signed by the chief representative;


(2) The agreement on the leasing of the new office and the certificate form of the use of the new office (the term of the leasing agreement shall be more than one year);


(3) The original Certificate of the Registration and the original Certificate of the Representative; and


(4) The Power of Attorney of the Registration.


2. When modifying the registration of the representative of the representative office, the office shall submit the following documents and certificates:


(1) The original copy of the approval certificate issued by the original approval authority (valid within 30 days since the date of approval);


(2) The application of modifying the registration of the representative of the office signed by the board chairman of general manager of the enterprise;


(3) The power of attorney (or the certificate of appointment) signed by the board chairman or general managers of the enterprise;


(4) The resume, two photos, and the photo-printed copies of the IDF card and the passport of the representative. (In case, the representative is a Chinese citizen residing in the territory of the People ¡¦ s Republic of China, the original letter of introduction issued by the Chinese enterprise shall be submitted simultaneously;


(5) The former representative shall be handed in his or her Certificate of Representative, for cancellation, and in case the chief representative is changed, the original Certificate of Registration shall be handed in for cancellation simultaneously; and


(6) The Power of Attorney of the Registration.


3. When modifying the registration of the name and the business scope of the representative office, the office shall submit the following documents and certificates:


(1) The original copy of approval certificate issued by the approval authority (valid within 30 days since the date of approval by the approval authority);


(2) The application of the registration of modification signed by the chief representative of the office;


(3) The legal certificate of the change of the name of the enterprise issued by the registration authority of the country (or region) where the enterprise is located;


(4) The original Certificate of Registration, the original Certificate of Representative and the original seal of the representative office; and


(5) The Power of Attorney of the Registration.


The Registration of Cancellation of the Representative Office in Beijing

A representative office of a foreign (regional) enterprise that applies for canceling its registration of the representative office in Beijing shall submit the following documents and certificates:


1. The application of canceling the registration of the representative office signed by the board chairman or general manager of the enterprise;


2. The original copy of approval certificate of canceling the registration of the representative office issued by the original work unit or the original approval authority;


3. The original copies of the certificates issued by the tax department and other relevant authorities in Beijing concerning the complete settlement of all taxes and other related matters;


4. The Certificate of Registration, the Certificate of Representative and the seal of the representative office; and


5. The Power of Attorney of the Registration.
