Marshall Islands Company Registration Procedures and Fees

The Marshall Islands company mentioned in this quotation refers to an international business companies ("IBCs" incorporated under the International Business Companies Act.

Summary

Our fees for the formation and registration of an International Business Company (IBC) in Marshall Islands are USD850. The fees quoted include our professional registration service, provision of a registered agent and registered office service for one year and the payment of official filing fees to the Marshall Islands Government. In short, our fees cover all formalities to bring a Marshall Islands IBC into existence.

For the purpose of registration of an IBC in Marshall Islands, the client needs to provide the proposed name of the company, the amount of registered capital, identity proof, such as passport (Certificate of Incorporation for corporation shareholder, director), and address proof, such as utility bill or address of registered office, of each person who will be the shareholder and director.

The registration of an IBC in Marshall Islands can be completed in three working days, plus delivery time.

A Marshall Islands IBC is required to pay an annual renewal fee of USD650 before its anniversary date.

Upon request, Kaizen can provide some additional services to facilitate your business, such as CPA certification, providing mailing address, ordering Certificate of Incumbency and Certificate of Good Standing and so on.

The fees listed in this quotation are for general reference only. Kaizen may adjust the fees when the Registrar adjusts the official filing fees.

Marshall Islands Company Registration Fees

We will help to incorporate an international business company in Marshall Islands with a registered capital of USD50,000. Our fees for the registration of such a company is USD850. In particular, our incorporation services cover the followings:
(1) Preparation of incorporation documents and filing of the documents with the Registrar for incorporation;
(2) Payment of official filing fee;
(3) Provision of registered office service (first year);
(4) Provision of registered agent service (first year);
(5) One company kit, including common seal and chop.

Note:
(1)
The fee quoted above excludes delivery charge, additional services fees / government fees incurred during the incorporation process (if any). The amount of courier charge will be advised upon confirmation of delivery address.
(2) Readymade company is available in Marshall Islands and our above mentioned fees also applies to readymade company. If Chinese name is needed, an extra service fee of USD200 will be charged.
(3) In case that the shareholder, director or/and secretary is of Taiwan Nationality, addition cost of USD370 will be charged due to increased agency cost.
(4) For company with a capital of more than USD50,000, extra registration fee and/or capital duty may be applicable.

Note:
(1)
You have the choices of having the mails forwarded or scanned and emailed to you. A service fee of USD10 plus actual delivery fee will be charged for each batch of mails forwarded. Or mails can be scanned and emailed without handling charge.
(2) A company can be registered with bearer shares, however, the particulars of the beneficiary owner must be registered with the Registrar.

Time of Billing and Payment Methods

Upon receipt of your order, we will issue an invoice to you for your settlement. We require full payment in advance. We currently only accept Hong Kong Dollar check, cash or TT and credit card through PayPal. If payment is settled through PayPal, extra 5% services fee will be charged.

If China or Taiwan official tax invoice is required, Value-Added Tax or Business Tax at the prevailing rate in the respective jurisdiction will be charged.

4. Materials to be provided by Client

Client needs to provide the following documents and information to Kaizen by email or fax or post for the purpose of incorporation:
(1)
One photocopy of passport and residential addresses proof which issued not more than 3 months and in English (such as utility bill or telephone bill or bank statement) in respect of each shareholder; if shareholder is another corporation, please provide Certificate of Incorporation, latest registered office address proof documents, latest register of directors, latest register of members and register of beneficial owners;
(2) One photocopy of passport and residential addresses proof which issued not more than 3 months and in English (such as utility bill or telephone bill or bank statement) in respect of each director; if director is another corporation, please provide Certificate of Incorporation and latest registered office address proof documents;
(3) completed KYC questionnaire (to be provided by Kaizen).

The above listed identification documents must be verified by Kaizen, a lawyer or an accountant or an attesting officer.

5. Registration Procedures and Estimated Time Frame

It is estimated that the whole registration process would take any around 7-10 working days counting from the date when all due diligence requirements are fulfilled, and documents collected. Annual Maintenance

Currently, starting from the year following the registration, a Marshall Islands company is required to pay an annual renewal fee of USD650 (applicable to company with registered capital of no more than USD50,000) to maintain in good standing. In particular, the annual maintenance fee covers the following services:

The annual renewal fee needs to be paid every year following the year of incorporation. We will send a renewal notice to all our clients 2 months before the anniversary date for payment. If you do not receive our renewal notice at around anniversary date of the company, please inform us accordingly.
